GLEIF Contract Requirements for both Legal and Govt entities

1. Duration:

The contract's duration will remain in effect as long as both the Legal Entity/Government Entity and LEI International Pvt Ltd as a digital LOU exist, with the shorter of the two durations being applicable. However, contracts with Government Entities and the LOU i.e. LEI International Pvt Ltd will have a fixed term of three (3) calendar years.

2. Termination :

Any LEI Agreement governed by these Terms and Conditions will be in effect until the occurrence of the following conditions:

• Legal Entity dissolution or cessation of operations.
• Dissolution or cessation of operations by LEI International Pvt Ltd as a digital LOU.
• Legal Entity transferring its LEI to another LOU or to GLEIF.
• Legal Entity relinquishing its status as an LEI-issued company.
• Legal Entity's LEI losing "active" status due to non-compliance or other failures.
• Expiry of the corresponding LEI annual registration without effective renewal.
• Termination by either party as specified herein.
• Termination with immediate effect for cause, as specified herein i.e. in the event of a severe or repeated violation of contractual duties where no cure is possible or has been refused despite a reasonable cure period.
• Termination as per GLEIF and other applicable norms if any.

For Government Entities, termination is possible in the event of a transfer of the Legal Entity's LEI to a different local operating unit or to GLEIF.

3. Termination due to LOU -GLEIF Master Agreement

Termination with immediate effect by the LOU i.e. LEI International Pvt Ltd, without any liability for damages, if the LOU's Master Agreement with GLEIF is terminated. This applies to both Legal and Government Entities.

4. Formal Notice of Termination

Termination notices must be submitted in writing or through any other applicable means as specified herein.

5. LEI Fees including Renewal Fees and Payment Terms

LEI fees applicable to both Legal and Govt. entities, including renewal fees, will be charged annually based on the periodically updated or amended price list provided by LEI International Pvt Ltd as a digital LOU. The LOU's fee schedule, policies, and terms for LEI transfer will be applicable. LEI International Pvt Ltd as a digital LOU reserves the right to unilaterally determine new fees after an annual review.

• Taxation:

  Taxes are subject to the prevailing GST (Goods and Service Tax) rate as per Indian laws. Any additional taxes, fees, or charges associated with LEI services are the responsibility of the Legal and Govt. Entity.

• Payment Schedule:

  LEI Fees are due and payable in advance during the application or annual verification of Legal and Govt.Entity data. Payments are processed through the LEI International Pvt Ltd Website's payment system.

Fee adjustments may occur due to inflation, increased system costs, or other GLEIF cost-related factors. Both Legal and Govt. Entities will be informed in advance if any.

6. Annual Fee Obligation

By opting for the requested LEI service, the Legal and Govt Entity / authorised user agrees to pay all applicable fees. The Legal and Govt Entity / authorised user mandatory acknowledges the obligation to pay fees upon LEI application and its renewal. All LEI and related service fees are non-refundable. The Legal and Govt Entity / authorised user is solely responsible for payment. Payment processing for LEI and related services of LEI International Pvt Ltd as a digital LOU is handled by a third-party processor, governed by its terms and conditions.

7. Data Accuracy Obligation

The Legal and Govt Entity is required to furnish accurate, comprehensive, and authentic information to LEI International Pvt Ltd when availing LEI and related services from the LOU organization.

8. Single LEI Requirement

The legal and Govt entity should acknowledge and be informed that it is only entitled to request a single LEI, with a prohibition on seeking a second LEI at the same LOU or any other local operating unit.

9. Annual LE-RD Review

The legal and Govt entity is obligated to conduct an annual review of the LE RD (Relationship data) to ensure its accuracy before applying for its renewal and other related services.

10. Prompt Submission of Changes

It is the responsibility of the Legal and Govt Entity or its authorized users to promptly submit any changes that impact the LEI and/or LE-RD when engaging with LEI International Pvt Ltd.

11. Communication Policy Reference

The legal and Govt entity, facing challenges if any related to its LEI and/or LE RD issued by LEI International Pvt Ltd, may refer to the communication policy of LEI International Pvt Ltd, operating as a digital LOU.

12. LE- RD Changes

The legal and Govt entity should be aware that LEI International Pvt Ltd, as the digital LOU, reserves the right to modify LE-RD in accordance with mandatory legal requirements, internal controls, or applicable GLEIF norms.

13. GLEIF Norms

Legal and Govt entities should recognize that the issuance and renewal of LEIs are contingent upon GLEIF-established and other relevant requirements exclusively.

14. GLEIF LEI Transfer right

Legal and Govt entities should be cognizant that GLEIF reserves the right to initiate the transfer of the LEI to another local operating unit.

15. Legal Entity LEI Transfer right

LEI International Pvt Ltd as a digital LOU acknowledge that the legal and Govt entity has the option to request the transfer of its LEI to another local operating unit without incurring any associated fees.

16. LEI Data Transfer rights

The legal and government entities, along with their signing or authorized individuals and other relevant parties, are authorised to transfer their LEI data related rights to the Digital LOU, specifically LEI International Pvt Ltd.

17. Authorized Signatories Requirement

It is mandatory that information, applications, and requests to LEI International Pvt Ltd acting as the digital LOU for LEI and related services, be submitted by the legal and Govt entity or its authorized signatories, with proper dates and signatures.

18. Attestation Requirement

Legal and Govt entity shall confirm the credentials of the authorised individual endorsing the LEI contract and related services on behalf of the legal and Govt entity with LEI International Pvt Ltd, functioning as a digital LOU.

19. Exclusive Place of Jurisdiction

Designation of an exclusive place of jurisdiction, only under exceptional circumstances different from the legal residence - TNV House,, B-1/19/69, Sector-K, Aliganj, Lucknow-226024 UP India of the LOU i.e. LEI International Pvt Ltd .

20. Exclusive Court Competence

Defining the exclusive court authority of LEI International Pvt Ltd, which may either include ordinary courts at the jurisdiction's location i.e. TNV House,, B 1/19/69, Sector-K, Aliganj, Lucknow-226024 UP India or a recognized and reliable arbitration court. Further , LEI International Pvt Ltd is explicitly prohibited from including in its contract with the Legal or Govt Entity the right to transfer the LEI to another local operating unit without the Legal or Govt Entity's initiative.

Multi-Year Registration Services

a) Term: LEI registrations are issued yearly, but Multi-Year Registration Services (MYRS) can be for three or five years, chosen by the applicant. Renewals happen annually, with reviews for any changes.

b) Application Process: Applicants need proper authority and legal documents. For bulk registrations, they use the Bulk Application Form on our website. They affirm accuracy of provided information.

c) Services: LEI International Pvt Ltd notify applicants 60 days before annual renewal. The renewal process is automatic. After MYRS ends, they can apply for more or continue yearly renewals.

d) Legal Entity Duties: MYRS doesn't exempt from annual mandatory validations. Fees are paid upfront. They're non-refundable, even if LEIs are transferred. Fees may change, but new rates apply only for new MYRS.

e) Fees and Payment Terms: Fees are for three (3) or five years (5), payable upfront. The applicant agrees to pay all related fees. Fees are non-refundable, even during transfers within MYRS Term.

f) Liability of Applicant of Bulk Orders: The applicant or authorised user for bulk orders is seen as an agent of the Legal or Govt Entity for liabilities under these terms.

If limitations are not allowed by law, LEI International Pvt Ltd.’s liability will be limited as permitted by law.

These limitations apply to all claims, whether in contract or tort, including negligence, and regardless of whether the possibility of such loss was known. The Legal Entity waives any claim that these limitations deprive it of adequate remedies.

II. Indemnification:

Legal Entity shall indemnify, hold harmless, and upon written or digital email request from LEI International Pvt Ltd, defend LEI International Pvt Ltd against any and all claims and liabilities arising from:

• Legal Entity's failure to provide correct, complete or current information to LEI International Pvt Ltd the purpose of its registration and authentication;
• Legal Entity's failure to maintain accurate, complete and up-to-date information regarding its LEI registration;
• any information provided by Legal Entity in connection with the registration or authentication of its LEI; and
• any breach by Legal Entity of an Agreement or these Terms and Conditions.

III. No Warranty:

LEI International Pvt Ltd aims to provide its services diligently and promptly fix any errors reported. However, all services and information, including data stored in the LEI Repository, are provided "AS IS" without any warranties. LEI International Pvt Ltd doesn't guarantee any particular outcome or quality of its services or information. This includes not promising that the information is free from errors, conforms to international standards, or complies with recommendations from regulatory bodies.

In simpler terms, while LEI International Pvt Ltd do its best to provide accurate and reliable services, it can't guarantee perfection or compliance with all standards. IV. Fraud:

Notwithstanding any other terms to the contrary, an Agreement subject to these Terms and Conditions does not and shall not exclude liability for fraud.

V. Force Majeure:

LEI International Pvt Ltd and the Legal Entity are not responsible for damages resulting from Force Majeure events.

LEI International Pvt Ltd is not liable for any damage caused by Force Majeure events affecting the functionality of its website or the LEI Repository. During such events, LEI International Pvt Ltd.’s liability is limited or suspended.

Force Majeure refers to events beyond a party's control, such as natural disasters, government actions, or technical failures, that prevent performance.

VI. Gross Negligence:

Each associated party is responsible for damages caused by intentional wrongdoing or serious carelessness. In case of negligence, each party is liable only if:

VII. Loss of Data:

However, LEI International Pvt Ltd is not responsible for verifying if this third party LEI information meets current standards or recommendations. We also don't guarantee its completeness, accuracy, or currency. Additionally, don’t guarantee that multiple LEIs haven't been issued for the same legal entity globally.

IX. Agents:

The aforesaid liabilities and limitations of liability described in this section shall also apply to each party to the extent that such liabilities arise from the actions, inactions or breaches of its agent(s).
